Terms and Conditions – Executive Education

This page comprises the terms and conditions that apply to the University of Leeds’, acting by its Leeds University Business School, provision of open enrolment short programmes, as described below.

1.     Definitions and interpretation

The following definitions apply:

Fee means the fee for the Programme to be paid by the Organisation or Participant to the University for delivery of the Programme;
Organisation” means the organisation booking on behalf of its employee as a Participant (as applicable);
Participant” means a participant registered on the Programme;
Party” means each of the University and the Organisation (where the Organisation has made the booking) or the University and the Participant (where the Participant has made the booking) (together the “Parties”);
Programme” means the open enrolment short programme to be provided by the University, as referred to in the Confirmation (as later defined);
Terms and Conditions” means these terms and conditions;
University” means the University of Leeds, of Woodhouse Lane, Leeds LS9 9JT.

2.     Formation of contract

2.1    A legally binding contract is formed between the Parties when the University issues written confirmation of acceptance of a booking application (“Confirmation”). 
2.2    Bookings are made online and are subject to availability and Confirmation.
2.3   These Terms and Conditions, together with the Confirmation, constitute the entire agreement between the Parties.

3.     Programme delivery

3.1    Subject to clause 2 above, including payment of the Fee, the University agrees to deliver the Programme to the Participants.
3.2    The Programme does not lead to any award. There is to be no assessment of Participant work. Participants that successfully attend the Programme will achieve a Programme participation certificate from the University.

4.     Payment

The Fee shall be paid by each Participant or Organisation, as applicable, as part of the booking application.

5.     Cancellation by Organisation or Participant

Right to cancel

5.1    The Organisation or Participant may cancel the booking for any reason by giving written notice to the University by email at LUBSOpenProgrammes@leeds.ac.uk, subject to the terms of this clause 5.

Cancellation within 14 days of Confirmation

5.2    Where the Organisation or Participant cancels the booking within 14 days of the University’s Confirmation:    
(a)    if the Programme has not started, the University will refund the Fee in full; or
(b)    if the Programme has started, the University will refund the Fee less a proportionate amount reflecting the services provided up to the date of cancellation.
5.3    Any refund due under clause 5.2 will be made within 14 days of receipt of the cancellation notice.

Cancellation more than 14 days after Confirmation

5.4    Where the Organisation or Participant cancels the booking more than 14 days after the University’s Confirmation: 
(a)    if the date of cancellation is 30 or more days before the Programme start date, the University will refund the Fee in full; or 
(b)    if the date of cancellation is less than 30 days before the Programme start date, the full Fee remains payable and no refund shall be made by the University.
5.5    Any refund due under clause 5.4(a) will be made within 60 days of receipt of the cancellation notice.

6.     Cancellation by the University

The University may cancel or suspend the booking by written notice if any circumstances beyond its reasonable control prevent or delay its delivery (including but not limited to staff shortage) or if Participant numbers fall below a sustainable/viable level. Apart from the return of the Fee already paid, the University will not have any liability to the Organisation or Participant for any loss or damage suffered or incurred as a result of the cancellation or suspension of the booking. 

7.     Behaviour and conduct

The University reserves the right to withdraw Participants from the Programme if, in the University’s discretion, they are deemed to do anything unlawful, malicious or discriminatory or which causes nuisance, offence or annoyance to the University, or any other person, or which damages the reputation of the University.  No refund of Fee is payable where a Participant is withdrawn on such grounds. 

8.     Intellectual property

All intellectual property used or created by or for the University in the design and delivery of the Programme (including but not limited to materials, methods, techniques and processes) are the property of the University, and the Organisation and/or Participant (as applicable) undertake and warrant that they shall not copy or reproduce the whole or any part of it other than for their own personal study purposes, nor transfer the whole or any part of it to any person. 

9.     Liability

9.1    Nothing excludes or limits either Party's liability in respect of:
    (a)    death or personal injury caused by that Party's negligence;
    (b)    fraudulent misrepresentation; or
    (c)    liability which may not otherwise be limited or excluded under applicable law.
9.2    Except as provided in clause 9.1 above, in no event is either Party liable for loss of profits, business, contracts or anticipated savings or any indirect or consequential loss, whether arising from tort (including negligence), breach of contract or otherwise.
9.3    Subject to clauses 9.1 and 9.2, the University’s aggregate liability to Participants and/or Organisations  in respect of all claims will be limited to a sum equal to the Fee payable by the Participant or Organisation.

10.     Data protection

10.1    The University will collect and process personal data relating to Participants and Organisations in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018.
10.2     The University will process personal data as necessary to deliver and administer the Programme (performance of a contract), to comply with its legal obligations and for its legitimate interests in running short programme activity, in accordance with its Data Protection Code of Practice and published privacy notices.  
10.3    The University is the data controller for personal data processed in connection with the Programme. Questions about how personal data is used may be directed to the University’s Data Protection Officer at dpo@leeds.ac.uk
10.4    Participants and Organisations have rights under data protection legislation, including rights of access, rectification, erasure, restriction, and objection, as detailed in the relevant University privacy notices.
10.5    Personal data will be retained only for as long as necessary for the purposes for which it is processed and in line with the University’s Records Retention Schedule.

11.     General

These Terms and Conditions are governed by and construed in accordance with English Law.  The English Courts have exclusive jurisdiction to deal with any dispute arising out of or in connection with them.
